End-User License Agreement

This End-User License Agreement (“Agreement”) is between you and A Superior Transportation LLC (“we,” “us”). By installing or using the U.P.Rides Drivers app (the “App”), you agree to these terms.

1. License

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App solely as an active, hired driver of A Superior Transportation LLC, for company business. The App is provided by invitation only.

2. Your obligations

• You will not share the App, the invite link, or your login credentials with anyone.
• You will use the App only while authorized (hired and on shift) and in line with company policies and your driver agreement.
• You consent to the App using your location, including in the background while on shift, as described in our Privacy Policy.
• You will not copy, modify, reverse-engineer, resell, or attempt to bypass the App’s access controls.

3. Ownership

The App and all related intellectual property are owned by A Superior Transportation LLC. No rights are granted except the limited license above.

4. Termination

Your license ends automatically when your employment/engagement ends or your access is revoked, and we may disable the App for your account at any time. On termination you must stop using the App.

5. Disclaimer & liability

The App is provided “as is,” without warranties of any kind. To the extent permitted by law, A Superior Transportation LLC is not liable for indirect or consequential damages arising from your use of the App.

6. Governing law

This Agreement is governed by the laws of the State of Michigan, USA.

7. Apple App Store terms

If you obtained the App through Apple’s App Store, you acknowledge:

• This Agreement is between you and A Superior Transportation LLC only, not with Apple. Apple is not responsible for the App or its content.
• Apple has no obligation to provide maintenance or support for the App.
• In the event the App fails to conform to any warranty, you may notify Apple and Apple will refund the purchase price (if any); Apple has no other warranty obligation.
• Apple is not responsible for addressing any claims relating to the App (including product-liability, legal/regulatory, or IP claims).
• Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.
• You represent that you are not located in a U.S.-embargoed country or on any U.S. prohibited-parties list.
